License Agreement
This License Agreement ("Agreement") is the primary document governing the use of the Refract codebase ("Software") and takes precedence over general Terms of Service provisions regarding usage rights.
1. License tiers and scope
Subject to payment, Yoann Jaspar ("Licensor") grants you a non-exclusive, perpetual license based on your tier:
- Solo: 1 Seat. Unlimited personal or owned projects. No client work.
- Startup: 5 Seats. Unlimited projects owned by the licensed entity.
- Agency: 12 Seats. Unlimited client projects. Includes handoff and white-label rights.
2. Ownership and derivative works
Licensee owns all rights to specific business logic and modifications added to the Software. The underlying architectural patterns, original source files, and documentation remain the exclusive property of Arc Lab.
3. Objective AI and automation restrictions
To protect the proprietary architecture of Refract, Licensee must not:
- Automated generation: Use the Software to train, prompt, or scaffold any AI app generator or low-code platform intended to output software for third parties.
- Architecture replication: Use the Software as a training dataset or reference for custom LLMs or MCP servers intended to replicate Refract structural logic.
- Direct competition: Use the Software to create a derivative product marketed as a development boilerplate or starter kit.
4. Definition of a seat
A "Seat" is one individual GitHub collaborator. Seats are assigned to individuals and may be rotated when personnel changes occur, but never shared simultaneously.
Active seats are verified through GitHub organization audit.
5. Termination and survival
Licensor may terminate this license immediately upon breach of section 3 (Restrictions).
- Cease of use: Upon termination, Licensee must destroy all raw Software copies and loses rights to updates and support.
- Survival of handoffs: For Agency tier users, End Products delivered to clients before termination remain valid and licensed, provided the original license was fully paid.
6. Solo founder and support boundaries
- Support scope: Support is limited to the Refract codebase as delivered. Pair-programming, general JS/TS training, and custom feature development are outside scope.
- Solo entity disclosure: Arc Lab is currently a solo operation; response times may vary during personal leave or incapacity.
7. Governing law
This Agreement is governed by Portuguese law. Exclusive jurisdiction is the courts of Porto/Matosinhos.
