Terms of Service
These Terms of Service ("Terms") govern the relationship between you (the "User") and Yoann Jaspar (operating under the brand name Arc Lab), based in Matosinhos, Portugal. By purchasing a license for Refract via userefract.io, you agree to be bound by these Terms and our License Agreement.
1. The Agreement
By purchasing a license or accessing the Refract codebase, you enter into a binding legal agreement with Yoann Jaspar. These Terms, along with our Privacy Policy and License Agreement, constitute the entire agreement between you and the seller.
1.1 Priority of Agreements: In the event of a direct conflict between these Terms and the License Agreement, the License Agreement prevails for software usage scope, seat counts, and project limits.
2. Taxes and VAT (EU Regulations)
As a service provider based in Portugal:
- EU Customers: Prices are subject to Value Added Tax (IVA/VAT) based on your country of residence, unless a valid VAT ID is provided for intra-community acquisition (reverse charge).
- Non-EU Customers: You are responsible for any local taxes or duties applicable in your jurisdiction.
- Invoicing: Official invoices are issued following Portuguese Tax Authority (Autoridade Tributaria) regulations.
3. Digital Content and Right of Withdrawal
Under EU Directive 2011/83/EU, the standard 14-day right of withdrawal is waived once performance begins with your prior express consent.
- Consent: By completing your purchase and accessing the GitHub repository, you expressly acknowledge that you lose your right to a refund after digital-content delivery starts.
- Final Sale: Due to the immediate and irreversible nature of access to the full source code, all sales are final once access has been granted.
4. Licensing and Intellectual Property
- License Grant: The Refract codebase is licensed, not sold. Your usage rights (Solo, Startup, or Agency) are defined strictly by your purchased tier on our License Page.
- Seat Definition: A seat is a single GitHub collaborator assigned under your purchased tier. Seats are assigned to individuals and may be reassigned to new team members as long as the total number of active seats does not exceed your tier limit.
- Ownership: All intellectual property rights for the Refract architecture, documentation, and original logic belong to Yoann Jaspar.
- Restrictions: Redistribution of the raw codebase, sub-licensing, or using the code to build a competing boilerplate product is strictly prohibited.
5. Acceptable Use and Support Policy
We reserve the right to terminate your access to the Discord community and GitHub updates immediately, without refund, in the event of a material breach of these Terms, including:
- Abuse of Support: Repeated support requests outside the scope of your purchased tier after notice has been provided.
- Toxic Behavior: Harassment, threats, discriminatory conduct, or repeated unprofessional behavior toward the developer or community members.
- Redistribution: Sharing your license access, repository access, or GitHub seats with unauthorized third parties.
6. Disclaimer of Warranties (As-Is)
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND. Yoann Jaspar makes no warranties that the code is error-free, secure, or fit for a particular commercial purpose. You assume all responsibility for testing and securing your application before production deployment.
7. Limitation of Liability
To the maximum extent permitted by Portuguese law, Yoann Jaspar is not liable for any indirect, incidental, or consequential damages (including loss of profits, data breaches, or service outages) arising from the use of the code.
Our total liability does not exceed the amount paid for the license.
8. Third-Party Dependencies
Refract relies on external services (for example, Stripe, Node.js, and authentication providers). You acknowledge that changes to these services' APIs, pricing, or availability are beyond the control of Yoann Jaspar. You are responsible for maintaining and updating your own dependencies.
9. Publicity Rights
Unless otherwise requested in writing via [email protected], you grant Yoann Jaspar a revocable, non-exclusive license to include your project name and logo on the userefract.io website to showcase successful implementations.
10. Governing Law and Dispute Resolution
- Law: These Terms are governed by the laws of Portugal.
- Jurisdiction: Any dispute is subject to the exclusive jurisdiction of the courts located in Porto/Matosinhos.
- Alternative Dispute Resolution: Pursuant to Law No. 144/2015, consumer disputes may be referred to CICAP (Centro de Informacao de Consumo e Arbitragem do Porto) at www.cicap.pt .
